Institute Contract Terms and Conditions

1. Purpose and Scope

• Objective: Define the purpose of the partnership, such as providing specialized training, enhancing academic programs, or facilitating student internships.
• Scope of Activities: Detail the specific activities and programs that will be covered under the partnership, such as curriculum development, workshops, seminars, or co-branded courses.

2. Roles and Responsibilities

• Training Institute Responsibilities:
  • Provide qualified instructors and training materials.
  • Ensure the curriculum meets industry standards.
  • Conduct regular assessments and provide feedback.
  • Maintain facilities and equipment necessary for training.
• Project Tunnel Responsibilities:
  • Provide student inquiry as per the offered courses.
  • Promote the training programs/courses to students, college, faculty, etc.
  • Facilitate enrollment support.

3. Financial Arrangements

• Bonding Fees: None of party need to pay to each other to start this contract.
• Cost Sharing: Coaching institute bears costs of that includes instructor fees, materials, and facility use.
• Revenue Sharing: Total course fee is divided into two shares: first 14% will be shared with Project Tunnel and the rest 86% to the training institute.
• Payment Terms: Any party who receives the amount is bound to share the respected share with the other.
• Discounts: Any party is free to offer discounts from its own share percentage to convince students/trainees/scholars.
• Refund: In case of refund, if the Project Tunnel team finds that the student/trainee amount needs to be refunded, the institute has to refund the whole amount (if received), or if Project Tunnel received the amount, then Project Tunnel can refund it.

4. Accreditations Approvals, Quality Assurance and Evaluation

• Educational Accreditation: Depending on the nature of the training programs offered, seek accreditation from relevant educational bodies or authorities.
• Approval from Sector-Specific Authorities: For specialized training, obtain approval from relevant sector-specific authorities or professional bodies.
• Course Policies: Training Institute needs to mention syllabus, amount refund policy, demo lecture, material, training certificate, mode of lectures/practical (Online/Offline/Recorded) prior to the Project Tunnel.
• Curriculum/Syllabus: Training institute needs to share the curriculum and follow the same before the start of the batch to the Project Tunnel.
• Instructor Skills: Training institute checks the skills of instructors and ensures they meet the required standards.
• Student Assessment: Training institute is free to evaluate student performance and program effectiveness.
• Feedback Mechanisms: Project Tunnel is free to collect feedback from students and staff.

5. Intellectual Property

• Ownership: Training institute has ownership of any intellectual property developed during the partnership, such as course materials, video content, audio content, or research findings.
• Usage Rights: Training institute can use the developed materials and content. Project Tunnel can use the feedback and student details only.

6. Marketing and Advertising Compliance

• Advertising Standards: Ensure that all marketing and advertising materials are truthful and not misleading. Comply with advertising standards and regulations.

7. Operational Policies and Procedures

• Enrollment Policies: Establish clear policies for student enrollment, including admission criteria, fees, and refund policies.
• Code of Conduct: Develop a code of conduct for students, staff, and instructors, outlining acceptable behavior and disciplinary procedures.
• Grievance Redressal: Implement a system for addressing grievances and complaints from students or staff.
• Facility Requirements: Comply with local zoning laws and building codes for educational institutions.
• Health and Safety Compliance: Adhere to health and safety regulations, including fire safety, sanitation, and emergency procedures.
• Accessibility: Ensure that the facilities are accessible to all students, including those with disabilities, in compliance with relevant laws and regulations.

8. Financial and Tax Obligations

• Tax Registration: Register with the tax authorities and obtain necessary tax identification numbers. Comply with tax obligations, including income tax, sales tax (if applicable), and payroll taxes.
• Accounting and Financial Reporting: Training institute maintains accurate financial records and prepares financial statements in accordance with applicable accounting standards.

9. Legal Entity Registration (Training Institute)

• Business Structure: Decide on the legal structure of the institute, such as a sole proprietorship, partnership, limited liability company (LLC), or corporation.
• Business Name Registration: Choose a unique name for the institute and register it with the relevant local or national authorities.
• Business License: Obtain a business license from the local government or relevant regulatory body.

10. Confidentiality and Data Protection

• Confidential Information: Training institute can use the inquired data for course information delivery only.
• Data Protection: Training institute compliance with relevant data protection laws and regulations.

11. Duration and Termination

• Term: This contract continues every year if none of the parties break the condition or none of the parties want to continue.
• Termination Conditions: Any party can break the contract by dropping an email to each other. For any issue raised by the student/trainee/scholar, the training institute needs to clarify, and if anything is misleading, then the contract will be on hold/suspend.

12. Dispute Resolution

• Resolution Mechanisms: Training institute and Project Tunnel will use email to raise and resolve the issue between the training institute and Project Tunnel or student/scholar.

13. Compliance and Legal Considerations

• Legal Compliance: Training institute complies with all applicable laws and regulations.

14. Miscellaneous

• Amendments: Procedures for amending the terms and conditions of the partnership.
• Notices: Training institute and Project Tunnel use email for communications between the parties.
• Entire Agreement: A statement that the agreement constitutes the entire understanding between the parties.

This Agreement constitutes the entire agreement between the parties hereby pertaining to the subject matter hereof, and any and all written or oral agreements heretofore existing between the parties hereto are expressly canceled. This Agreement is not assignable, transferable or sub-licensable by you except with prior written consent. Any heading, caption or section title contained in this Agreement is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof. The Company reserves the right in its sole discretion to terminate the use of the Site by a Training institute at any time. Please report any violations of the Terms (except for claims of intellectual property infringement) to the Site Director at support@projecttunnel.com. Project Tunnel may terminate a Training institute’s account in Project Tunnel’s absolute discretion and for any reason. Project Tunnel is especially likely to terminate for reasons that include, but are not limited to, the following: (1) violation of this Agreement; (2) abuse of Site resources or attempt to gain unauthorized entry to the Sites or Site resources; (3) use of a Site in a manner inconsistent with the Purpose; (4) a Training institute’s request for such termination; or (4) as required by law, regulation, court or governing agency order. Project Tunnel’s termination of any Training institute’s access to any or all Sites may be effected without notice and, on such termination, Project Tunnel may immediately deactivate or delete Training institute’s account and/or bar any further access to such files. Project Tunnel shall not be liable to any Training institute or other third party for any termination of that Training institute’s access or account hereunder. In addition, a Training institute’s request for termination will result in deactivation but not necessarily deletion of the account. Project Tunnel reserves the right to delete, or not delete, a Training institute’s account at Project Tunnel’s sole discretion, as well as to delete, or not delete, Content at Project Tunnel’s sole discretion.
